Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SeriousPeople LLC ("ClawPow," "we," "us," or "our"), a company organized under the laws of the State of Wyoming, with its registered address at 701 Tillery Street Unit 12, 1821, Austin, TX 78702, United States. These Terms govern your access to and use of the ClawPow platform, website (clawpow.com), command-line interface, application programming interfaces, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Service

ClawPow is a platform that provides AI-powered tools and integrations for content creation, social media management, design, video processing, analytics, document management, research, and task management. The Service enables users to connect third-party accounts and leverage AI models through a unified interface accessible via web dashboard and command-line tools.

1.1 Core Capabilities

The Service includes, but is not limited to:

  • Social Media Management: Creating, scheduling, and publishing content to connected social media platforms (X/Twitter, LinkedIn, Threads, Instagram); monitoring mentions and comments; automated reply capabilities.
  • Blog Publishing: Creating and publishing blog articles to connected platforms (WordPress, Ghost, Webflow).
  • Design Tools: AI-powered image generation using brand identity context, template management, and asset storage.
  • Video Tools: Video upload with automatic AI transcription, AI-assisted clip extraction, portrait reframing, and AI video generation (text-to-video, image-to-video).
  • Analytics: Social media analytics, revenue analytics (Stripe), website traffic analytics (Google Analytics 4), and SEO analytics (Google Search Console).
  • Documents: Page and spreadsheet creation, editing, and export to Google Sheets, Excel, and CSV formats.
  • Research: AI-powered deep research with monitoring and alerting.
  • Brand Management: Visual identity management including logos, color palettes, and typography.
  • Task Management: Task creation, prioritization, and status tracking.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2.2 Account Creation

To access the Service, you must create an account through our authentication provider, WorkOS. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Security

You must immediately notify us at support@clawpow.com if you become aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain account security.

3. Subscription, Billing, and Credits

3.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription fees are billed monthly through our payment processor, Stripe. Subscription details, including pricing, are available on our Pricing page. We reserve the right to modify pricing with at least 30 days' prior notice.

3.2 Credit System

The Service operates on a usage-based credit system. Each subscription includes a monthly credit allotment. Credits are consumed when you use AI-powered features, publish to third-party platforms, process media, or perform other metered operations. Credit costs vary by operation and are displayed before execution where feasible.

3.3 Auto Top-Up

You may enable automatic credit top-ups, which will charge your payment method on file when your balance falls below a threshold. You may configure top-up amounts and monthly spending limits. By enabling auto top-up, you authorize us to charge your payment method for the specified amounts. You may disable auto top-up at any time through your account settings.

3.4 Refunds

Subscription fees are generally non-refundable. Unused credits do not roll over between billing periods and are non-refundable. We may, in our sole discretion, provide refunds or credits in cases of documented service failures or billing errors. Refund requests must be submitted to support@clawpow.com within 14 days of the charge.

3.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@clawpow.com. Upon cancellation, you will retain access to paid features until the end of your current billing period. After the billing period ends, your account will revert to free tier access and remaining credits will expire.

4. Connected Third-Party Accounts

4.1 Authorization

The Service allows you to connect third-party platform accounts (including but not limited to X/Twitter, LinkedIn, Threads, Instagram, Google, WordPress, Ghost, Webflow, and Stripe) via OAuth or API key authentication. By connecting a third-party account, you:

  • Authorize ClawPow to access, retrieve, and interact with your data on those platforms within the scope of permissions granted;
  • Represent that you have the right and authority to grant such access;
  • Acknowledge that your use of connected platforms remains subject to those platforms' respective terms of service and policies.

4.2 Token Storage

We store OAuth access tokens and refresh tokens necessary to maintain your connected account integrations. Tokens are stored encrypted at rest in our database infrastructure. You may revoke any connected account at any time through your account settings, which will delete stored tokens from our systems. We recommend also revoking access directly on the third-party platform.

4.3 Third-Party Platform Compliance

You are solely responsible for complying with the terms of service, acceptable use policies, rate limits, and content policies of any third-party platform you connect to the Service. ClawPow is not responsible for any actions taken by third-party platforms against your accounts, including suspension or termination, resulting from your use of the Service.

5. User Content and Intellectual Property

5.1 Your Content

"User Content" means all content you create, upload, submit, or generate through the Service, including but not limited to social media posts, blog articles, documents, images, videos, transcripts, brand assets, research queries, prompts, and design templates.

You retain all ownership rights in your User Content. By using the Service, you grant ClawPow a limited, non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete the applicable content or your account.

5.2 AI-Generated Content

Content generated by AI features of the Service (including images, videos, text, and research outputs) is provided to you under the same ownership terms as your other User Content, subject to the following:

  • AI-generated outputs are produced by third-party AI models and providers. The quality, accuracy, and appropriateness of outputs cannot be guaranteed.
  • You are solely responsible for reviewing all AI-generated content before use, publication, or distribution.
  • You must comply with the usage policies of the underlying AI model providers (including OpenRouter, Google, fal.ai, OpenAI, and others).
  • ClawPow makes no representations regarding the intellectual property status of AI-generated outputs, including whether such outputs may infringe third-party rights.

5.3 Feedback

Any feedback, suggestions, or ideas you submit regarding the Service may be used by ClawPow without restriction or compensation to you.

5.4 ClawPow Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by ClawPow and protected by intellectual property laws. Nothing in these Terms grants you any right to use ClawPow's trademarks, logos, or branding without prior written consent.

6. Acceptable Use

6.1 Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Generate, publish, or distribute content that is unlawful, defamatory, harassing, threatening, obscene, or otherwise objectionable;
  • Engage in spam, phishing, or other deceptive practices through connected social media or publishing platforms;
  • Circumvent or attempt to circumvent rate limits, usage quotas, security measures, or access controls;
  • Reverse engineer, decompile, or disassemble any aspect of the Service;
  • Use the Service to build a competing product or service;
  • Share, resell, or sublicense your account access to unauthorized third parties;
  • Upload or transmit malicious code, viruses, or content designed to disrupt the Service;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Use AI features to generate content that violates the policies of underlying AI model providers.

6.2 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including suspension or termination of access, deletion of content, and reporting to law enforcement authorities.

7. Availability and Support

7.1 Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. Certain operations (such as video processing and AI generation) are subject to processing timeouts and may fail due to infrastructure or third-party provider limitations.

7.2 Third-Party Dependencies

The Service relies on third-party providers including, without limitation, Convex (database), Cloudflare (storage and CDN), Stripe (payments), WorkOS (authentication), OpenRouter (AI gateway), fal.ai (video and transcription), Cloudinary (media processing), and various social media platform APIs. We are not liable for outages, errors, or changes by these third-party providers that affect the Service.

8. Data Retention and Deletion

8.1 Account Deletion

You may request deletion of your account and associated data by contacting support@clawpow.com. Upon account deletion, we will delete or anonymize your personal data, including: user profile information, connected account tokens, subscription records, content, assets, and generated outputs. Certain data may be retained as required by law or legitimate business interests (such as billing records for tax compliance).

8.2 Content Published to Third Parties

Content that has been published to third-party platforms (social media posts, blog articles) through the Service cannot be deleted by ClawPow. You must manage such content directly on the applicable third-party platform.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WITHOUT LIMITING THE FOREGOING:

  • WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, NON-INFRINGING, OR FIT FOR ANY PARTICULAR PURPOSE.
  • WE DO NOT WARRANT THAT SOCIAL MEDIA POSTS WILL BE PUBLISHED SUCCESSFULLY OR ON TIME.
  • WE DO NOT WARRANT THE ACCURACY OF ANALYTICS DATA, WHICH IS DERIVED FROM THIRD-PARTY PLATFORM APIS AND MAY BE DELAYED OR INCOMPLETE.
  • WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAWPOW, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClawPow and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right or applicable law; (e) content published through connected third-party platforms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be resolved exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the personal jurisdiction of such courts. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against ClawPow.

12.3 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. Modifications

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email to the address associated with your account or through a notice within the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to any modification, you must discontinue use of the Service.

14. Termination

14.1 By You

You may terminate your account at any time by contacting support@clawpow.com or through your account settings.

14.2 By Us

We may suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to violation of these Terms, non-payment, suspected fraud, or legal requirement. Upon termination, your right to use the Service ceases immediately, and we may delete your account data in accordance with our data retention practices.

14.3 Survival

Sections 5 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law), and this Section 14.3 shall survive any termination of these Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ClawPow regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

ClawPow shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, third-party service outages, or internet failures.
